These Terms and Conditions ("Terms") govern your access to and use of the Cape Town Legal Logistics ("CTLL") website, the CTLL Portal, and all related legal messenger and logistics services provided by CTLL (collectively, the "Services"). By accessing or using the Website, CTLL Portal or any Service, you confirm that you have read, understood, and agree to be bound by these Terms.
If you are entering into these Terms on behalf of a law firm, partnership, company, or other organisation, you represent and warrant that you are authorised to bind that entity to these Terms. In that case, references to "you" or "your" include that entity and its authorised users.
These Terms operate alongside, and do not replace, any written Service Contract agreed between CTLL and your firm. If there is any conflict between these Terms and a signed Service Contract, the Service Contract will prevail to the extent of the inconsistency. Please also read our Privacy Policy, available on this website, which explains how we handle personal information.
For purposes of these Terms:
- "CTLL" means Cape Town Legal Logistics, the legal messenger and logistics service described on this Website.
- "Website" means the CTLL marketing and information website through which you can learn about the Services and access related resources.
- "CTLL Portal" means the secure, private online workspace made available to client firms to log instructions, receive updates, and access uploaded documents.
- "Service Contract" means any signed contract, quotation, proposal, or onboarding form between CTLL and your firm that records the commercial terms, plan type, fees, and service levels applicable to you.
- "Instruction" means a specific request from you to CTLL to perform a messenger or logistics task, including any documents, information, and directions you supply.
CTLL provides legal messenger and logistics services in and around the Cape Town Southern Suburbs corridor (currently between Tokai and the CBD, with possible extension to other areas as agreed in writing). The precise scope, inclusions, and exclusions of your Services, including any Service-Level commitments, will be set out in your Service Contract and in any confirmed quotation or email from CTLL.
CTLL does not provide legal advice, representation, or any services that constitute the practice of law. Responsibility for all legal strategy, drafting, and professional decisions remains with you and your firm at all times.
You agree to:
- Provide clear, complete, and accurate Instructions, including all required documents, references, and filing details, in the format requested by CTLL or via the CTLL Portal.
- Ensure that all documents submitted to CTLL are legible, properly executed, and compliant with the rules and practices of the relevant court, Master’s Office, Deeds Office, Sheriff, or other authority.
- Verify that any filing deadlines, cut-off times, and dates communicated in your Instructions are correct and allow a reasonable margin for travel, queues, security checks, and administrative processing.
- Maintain the confidentiality and security of your CTLL Portal login details and restrict access to authorised individuals only.
- Immediately notify CTLL if you become aware of any unauthorised access to the CTLL Portal, or any error in an Instruction already submitted.
You remain solely responsible for the substantive legal correctness, completeness, and compliance of all documents and Instructions. CTLL is not responsible for checking legal content, calculating prescription or limitation periods, or confirming whether your Instructions are aligned with any applicable court rules or practice directives.
CTLL will use reasonable care and skill in executing your accepted Instructions, including handling documents with due care and providing reasonable updates via the CTLL Portal or other agreed channels. Unless expressly and specifically guaranteed in a Service Contract, all time frames and turnaround indications are estimates and not firm guarantees.
Certain factors fall outside CTLL’s control, including but not limited to:
- court, Master’s Office, Deeds Office, municipal and Sheriff office queues, closures, and system outages;
- load-shedding, public transport disruptions, road closures, and traffic incidents; and
- changes in filing rules, practice directives, or administrative procedures at relevant authorities.
To the maximum extent permitted by law, CTLL excludes all implied warranties and representations not expressly set out in these Terms or in a written Service Contract. CTLL will not be liable for any indirect, consequential, punitive, or special loss (including loss of profits, loss of opportunity, or reputational harm). CTLL’s aggregate liability for all claims arising from or in connection with the Services will, in any 12‑month period, be limited to the total fees actually paid by you to CTLL in that period in respect of the Services giving rise to the claim, unless a different cap is expressly agreed in a Service Contract.
Headline pricing for certain plans and services is displayed on the Pricing & Plans page of this Website. The binding fees, billing cycles, and payment terms applicable to your firm will be confirmed in your Service Contract and/or in any written quotation or onboarding document accepted by you.
Unless otherwise agreed in writing:
- retainer plans are billed in advance for the applicable period;
- pay‑as‑you‑go Instructions are billed after completion or at such milestones as CTLL may reasonably determine; and
- invoices are payable within the payment period stated on the invoice, failing which CTLL may suspend Services until payment is received.
You are responsible for any bank charges, foreign currency conversion fees, and taxes (including VAT, where applicable), unless otherwise stated. CTLL may adjust its standard pricing from time to time; any change will not affect fees already agreed in a signed Service Contract for the remainder of its agreed term, unless that contract expressly allows for adjustments.

All intellectual property rights in and to the Website, CTLL Portal, CTLL branding, processes, and underlying technology are owned by or validly licensed to CTLL. Subject to your continued compliance with these Terms and any applicable Service Contract, CTLL grants you a limited, non‑exclusive, non‑transferable right for authorised users within your firm to access and use the CTLL Portal and Website for the sole purpose of managing Instructions and engaging with the Services.
You must not (and must not allow any third party to):
- copy, modify, reverse engineer, decompile, disassemble, or create derivative works from any part of the Website or CTLL Portal, except to the extent that applicable law expressly permits despite this restriction;
- remove, obscure, or alter any proprietary notice or CTLL branding on the Website, CTLL Portal, or related materials; or
- use any CTLL trade marks, logos, or branding without CTLL’s prior written consent.
Nothing in these Terms transfers ownership of any intellectual property rights between the parties. You retain all rights in your own documents, Instructions, client information, and other materials that you supply to CTLL, subject to CTLL’s right to use them only for the purpose of delivering the Services and complying with law.
CTLL understands the sensitivity of legal work and will treat as confidential all non‑public information and documents you provide in connection with the Services, subject to any disclosure required by law, court order, regulatory request, or professional obligations.
CTLL will implement reasonable technical and organisational measures to protect personal information processed in connection with the Services. Further details, including the categories of personal information processed, purposes of processing, and your rights as a data subject, are set out in CTLL’s Privacy Policy available on this Website.
By using the Website, CTLL Portal, or Services, you acknowledge and agree that personal information may be processed in accordance with the Privacy Policy and applicable data protection laws. Where you provide CTLL with personal information relating to your clients, opposing parties, or other third parties, you confirm that you have a lawful basis to do so and that any required notices have been given.
The Privacy Policy forms part of these Terms. In the event of any inconsistency between these Terms and the Privacy Policy in relation to the handling of personal information, the Privacy Policy will prevail.
You must use the CTLL Portal and Website only for lawful purposes and in a manner consistent with these Terms and any instructions or policies communicated by CTLL. Without limiting the generality of the foregoing, you must not:
- upload, store, or transmit any material that is unlawful, defamatory, infringing, obscene, or otherwise objectionable;
- introduce any virus, malware, or other harmful code into the CTLL Portal or attempt to circumvent any security or access‑control features;
- use the CTLL Portal in a way that could damage, disable, overburden, or impair any CTLL systems or that interferes with any other user’s access;
- attempt to gain unauthorised access to any other user’s workspace or to any CTLL systems or networks; or
- use automated tools (such as bots or scripts) to access or interact with the CTLL Portal in a way not expressly permitted by CTLL.
CTLL may monitor usage of the CTLL Portal to the extent reasonably necessary to operate, secure, and improve the Services, and to investigate suspected misuse or security incidents, in line with the Privacy Policy and applicable law.
The duration of your commercial relationship with CTLL, including any initial term and renewal arrangements, will be set out in your Service Contract. Either party may terminate the Services in accordance with that contract and any applicable notice period.
In addition, CTLL may suspend or restrict access to the CTLL Portal or Services with immediate effect if:
- you are in material breach of these Terms or your Service Contract (including non‑payment of invoices) and fail to remedy that breach within any reasonable cure period notified to you;
- CTLL reasonably suspects fraudulent, abusive, or unlawful activity in connection with your account; or
- such suspension is required by law, court order, or a competent authority.
On termination of the Services, CTLL will cease performing new Instructions, but may complete any in‑progress work as reasonably agreed with you. Termination will not affect any accrued rights or obligations of either party, including your obligation to pay all fees properly due and payable up to the effective date of termination.
These Terms, and any dispute or claim arising out of or in connection with them, the Website, the CTLL Portal, or the Services, will be governed by and construed in accordance with the laws of the Republic of South Africa, without giving effect to any choice‑of‑law or conflict‑of‑laws rules that would result in the application of any other law.
Subject to any alternative dispute‑resolution mechanism expressly recorded in a Service Contract, you and CTLL agree that the courts of South Africa will have jurisdiction over any dispute arising from or relating to these Terms or the Services. Nothing in this clause prevents either party from seeking urgent or interim relief on an ex parte basis or otherwise in any court of competent jurisdiction.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be applied to the maximum extent permissible, and the remaining provisions will remain in full force and effect. No failure or delay by CTLL to exercise any right or remedy will constitute a waiver of that right or remedy.
